These Terms of Service (the "Terms") govern your access to and use of the Navigator Portal, Navigator Slack bot, and related software and services (the "Service") provided by Focus Global Talent Solutions, LLC, a Delaware limited liability company doing business as Focus GTS and as Navigator ("Focus GTS", "we", "us").

By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. The Service

Navigator provides expert-assisted support for enterprise martech, adtech, and data platforms, augmented by AI. The Service includes ticketing, live expert conversations, knowledge-base retrieval, referral workflows, and reporting. Specific features available to you depend on your subscription plan and any separate Master Services Agreement ("MSA") between us.

If there is a conflict between these Terms and a signed MSA, the MSA controls for that customer.

2. Accounts

You must register using a valid work email and authenticate through your organization's SSO. You are responsible for maintaining the confidentiality of your credentials, for all activity under your account, and for ensuring that your users comply with these Terms. Notify us immediately at security@focusgts.com if you suspect unauthorized access.

You must be at least 18 years old to use the Service.

3. Subscriptions, fees, and cancellation

Unless a signed MSA provides otherwise:

  • Billing period. Subscriptions renew automatically on the cadence stated in your order form (monthly or annual).
  • Fees. Fees are invoiced in advance and are non-refundable except as expressly required by law.
  • Cancellation. You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period.
  • Suspension for non-payment. We may suspend access if an invoice is more than 30 days past due, after 10 days' written notice.
  • Price changes. We may change fees with at least 30 days' notice before the next renewal.

4. Your content

"Client Content" means any data, text, files, attachments, or other material that you or your users submit to the Service, including ticket content, conversation transcripts, uploaded files, and time-entry data.

You retain all ownership of Client Content. You grant Focus GTS a non-exclusive, worldwide, royalty-free license to host, process, display, transmit, and create necessary derivative works (such as vector embeddings and short summaries) solely as needed to operate, maintain, and improve the Service for you.

We do not use Client Content to train foundation models. We do not use Client Content to serve any other customer.

You are responsible for ensuring that Client Content you submit does not violate any third-party right or any law, and that you have all rights necessary to grant the license above.

5. Navigator intellectual property

The Service itself, the Navigator agents and workflows, the knowledge graphs, the UI, the source code, the Navigator brand, and any improvements or aggregated/anonymized insights derived from operating the Service across all customers (together, "Navigator IP") are and remain the exclusive property of Focus GTS.

Nothing in these Terms transfers ownership of Navigator IP to you. We may use anonymous, aggregated usage data (no Client Content, no identifiers) to measure and improve the Service.

6. Acceptable use

You will not:

  • Use the Service to transmit malware, to scrape content in violation of another site's terms, or to circumvent authentication or rate limits.
  • Reverse engineer or create derivative works of the Service, except as permitted by law that cannot be waived by contract.
  • Use the Service to process protected health information (PHI), cardholder data (PCI), US government classified data, or data subject to ITAR / EAR controls.
  • Use the Service to harass, defame, or infringe the rights of any person.
  • Resell or sublicense the Service without our written consent.
  • Submit Client Content you do not have the right to submit.

We may suspend access with reasonable notice if we believe continued use poses a security or legal risk.

7. Third-party services

The Service uses third-party subprocessors (see Subprocessor List). Your use of the Service constitutes acceptance of those third-party terms to the extent they apply through our integration with them.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, FOCUS GTS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Navigator uses AI models that can produce incorrect or incomplete output. You are responsible for reviewing AI-generated recommendations before acting on them. Navigator is an aid to your team, not a substitute for professional judgment.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • FOCUS GTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY.
  • FOCUS GTS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID TO FOCUS GTS FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow these limitations, so the above may not apply to you in full.

10. Indemnification

You will defend, indemnify, and hold harmless Focus GTS and its affiliates, officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your Client Content, (b) your use of the Service in breach of these Terms, or (c) your violation of any law or third-party right.

Focus GTS will defend, indemnify, and hold you harmless from any third-party claim that the Service as provided by Focus GTS infringes a US intellectual property right, subject to you giving prompt notice, cooperating, and allowing us to control the defense.

11. Term and termination

These Terms apply for as long as you have an account or subscription. Either party may terminate for material breach not cured within 30 days of written notice. On termination:

  • Your access to the Service ends.
  • We will make Client Content available for export for 30 days, after which we will delete it as described in the DPA.
  • Accrued payment obligations survive.
  • Sections covering IP, confidentiality, disclaimers, liability, indemnification, and dispute resolution survive.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

Arbitration. Any dispute arising out of or relating to these Terms or the Service will be finally resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules. The seat of arbitration is Wilmington, Delaware. A single arbitrator will decide. The arbitrator may award injunctive relief only in favor of the individual party seeking relief.

Carve-outs. Either party may (a) bring an individual claim in small-claims court, or (b) seek temporary injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

No class actions. You and Focus GTS each waive any right to bring claims on a class or representative basis.

13. Changes

We may update these Terms from time to time. Material changes will be communicated by email to the primary account contact at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance.

14. Miscellaneous

These Terms (plus any signed MSA and order form) are the entire agreement between you and Focus GTS for the Service. If any provision is held unenforceable, the rest remains in force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign to an affiliate or to a successor in connection with a merger or sale of substantially all of our assets.
